Affiliate Terms of Service

The Shyne Coffee Affiliate Program ("Shyne Lifestyle") allows approved participants ("Affiliates") to earn commissions by referring customers to Shyne Coffee products. By participating in this program, you agree to the following terms and conditions.

1. Commission Structure

• Commission Rate: 10% of the net sale price (excluding taxes, shipping, and any discounts applied)
• Subscription Renewals: Affiliates earn commission on all future subscription renewals for customers they refer, for as long as the subscription remains active
• Cookie Duration: 21 days from initial referral click
• Minimum Payout: $50 CAD
• Payment Schedule: Monthly, Net-30 (payouts processed within 30 days of month end)

2. Eligibility Requirements

To participate in the Shyne Lifestyle program, you must:

• Be at least 18 years of age
• Be a Canadian resident or have a valid Canadian mailing address
• Provide accurate and complete personal information for tax and compliance purposes
• Have a valid email address and phone number for account verification
• Not be an employee, contractor, or immediate family member of Shyne Coffee employees

3. Affiliate Responsibilities

As an affiliate, you agree to:

• Promote Shyne Coffee products honestly and ethically
• Disclose your affiliate relationship when promoting products (required by Canadian law and FTC guidelines)
• Use only approved marketing materials and messaging
• Not engage in spam, unsolicited communications, or misleading advertising
• Not use Shyne Coffee trademarks in domain names, social media handles, or paid advertising without written permission
• Comply with all applicable laws, including Canada's Anti-Spam Legislation (CASL) and the Competition Act

4. Prohibited Activities

The following activities are strictly prohibited and may result in immediate termination:

• Making false or misleading claims about Shyne Coffee products
• Making any health claims that are not approved by Health Canada
• Using cookie stuffing, fraudulent clicks, or other deceptive tracking methods
• Bidding on Shyne Coffee branded keywords in paid search advertising
• Creating fake reviews or testimonials
• Referring yourself or making purchases through your own affiliate links for personal use
• Transferring or selling your affiliate account to another party

5. Tax Obligations

You are responsible for reporting and paying any taxes owed on affiliate commissions earned. If you earn more than $500 CAD in a calendar year, Shyne Coffee may issue a T4A slip for tax reporting purposes. You agree to provide accurate tax information including your full legal name and mailing address.

6. Payment Terms

• Payments are made via Interac E-Transfer (Canadian bank accounts only)
• You must maintain a minimum balance of $50 CAD before requesting a payout
• Payouts are processed within 5 business days of request, during the monthly payment cycle
• Commissions are subject to a 30-day holding period to account for returns and chargebacks
• Shyne Coffee may withhold, adjust, or reclaim commissions for fraudulent orders or returned products

7. Intellectual Property

Shyne Coffee grants you a limited, non-exclusive, non-transferable license to use approved marketing materials, logos, and product images solely for the purpose of promoting Shyne Coffee products as an affiliate. You may not modify, alter, or create derivative works from these materials without written permission.

8. Termination

Either party may terminate this agreement at any time for any reason. Upon termination, you must immediately cease using all Shyne Coffee marketing materials and affiliate links. Earned commissions that have passed the 30-day holding period will still be paid out, subject to the minimum payout threshold.

9. Limitation of Liability

Shyne Coffee shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your participation in the affiliate program. Our total liability shall not exceed the total commissions paid to you in the previous 12 months.

10. Modifications

Shyne Coffee reserves the right to modify these terms at any time. Material changes will be communicated via email at least 14 days before taking effect. Continued participation in the program after changes take effect constitutes acceptance of the new terms.

11. Governing Law

This agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
